To file a DBA in New Jersey, sole proprietors and general partnerships register a Trade Name Certificate with their county clerk. LLCs, corporations, and LLPs register an Alternate Name with the NJ Division of Revenue and Enterprise Services. The state filing fee is $50 for most entities. Online filings for LLCs and corporations are processed in 2 to 4 business days.
What a New Jersey DBA Actually Does (and What It Doesn’t)
A DBA lets your business operate under a name that’s different from its legal registered name. It doesn’t create a new legal entity, change your tax structure, or give you exclusive rights to the name.
Only a trademark does that. If you’re building a brand and want real protection, you need a federal trademark through the USPTO or a state-level registration in New Jersey, in addition to your DBA.
What a DBA does give you: a legal basis to market under that name, open a business bank account, sign contracts, and accept payments under a name that isn’t your LLC’s legal title or your own personal name.
If you register an LLC called New Jersey Holdings, LLC, and do business as New Jersey Realty, you need a DBA. The same applies if you use a shortened version of your name, such as Smart Lamp Shades operating as SLS.
The Most Important Thing to Know Before You File
New Jersey splits the DBA process depending on your business type. This is where most people get it wrong.
The state’s alternate name process does not accept filings from sole proprietors or general partnerships. Those entity types must file a Trade Name Certificate directly with their county clerk. LLCs, corporations, and limited partnerships register an Alternate Name at the state level any time they want to operate under a name other than their legal registered name.
Filing at the state level when you’re a sole proprietor, or at the county level when you’re an LLC, will either get your registration rejected or leave a gap in your compliance history. Get your entity type straight before you touch any forms.
How Sole Proprietors and General Partnerships File a DBA in New Jersey
You file with your county clerk, not the state. If you operate in multiple counties, you file in each one.
Steps:
- Search your county’s trade name database to confirm the name isn’t already registered.
- Complete the Trade Name Certificate form for your county.
- Get the form notarized. New Jersey requires notarization for trade name certificates.
- Submit by mail or in person to your county clerk’s office.
Costs (as of June 2025): $50 if filed online; $58 if filed in person. The in-person fee includes notarization. Mail filings require a separate notary.
Processing times vary by county. In-person filings are generally processed the same day. Mail filings take approximately two weeks.
Find contact information for every county clerk through the Constitutional Officers Association of New Jersey website.
How LLCs and Corporations File a DBA in New Jersey
Your filing goes to the NJ Division of Revenue and Enterprise Services. New Jersey calls this an “Alternate Name” registration, but it functions the same as a DBA.
Steps:
- Search the NJ Division of Revenue and Enterprise Services business name database to confirm availability.
- Log in to the NJ Division of Revenue online portal and complete the Registration of Alternate Name.
- Pay the $50 filing fee and submit.
Online filings are typically processed in 2 to 4 business days. If you prefer to file by mail, use Form C-150G and send it to the NJ Department of the Treasury. Mail processing takes 2 to 3 weeks.
New Jersey charges an extra $50 per year if your name is in use without being registered. Register before you start using the name publicly.
For foreign entities: If your business holds a Certificate of Authority to operate in New Jersey but wants to operate under a different name, file Form C-150G with the NJ Department of the Treasury. The fee is $50, separate from your foreign qualification filing fee. Your Certificate of Authority must be completed before the DBA can be filed.
New Jersey DBA Name Requirements
New Jersey has specific rules about what names are acceptable.
Trade names cannot include words that could be confused with a government agency. Restricted words requiring prior approval include bank, trust, Olympic, realtor, and USPS, among others. Your chosen name must also be unique in the state database. Run the search before putting anything on invoices, signage, or your website. A rejected filing means starting over.
A DBA also doesn’t override federal trademark law. Even with a registered DBA in New Jersey, you can receive a cease-and-desist from someone holding a federal trademark on the same name.
Renewal and Termination
Renewal: State-level DBA registrations are valid for five years. You can renew online or by submitting Form C-150R, up to three months before expiry. The renewal fee is $50 for most entities and $25 for corporations.
Termination: LLCs and corporations file the Certificate of Termination of Corporate Alternate Name. The fee is $75. Sole proprietors cancel by filing the Dissolution of a Business Name Certificate with their county clerk. The fee is $25 if already notarized, or $31 if notarized at the clerk’s office.
What to Do After Your DBA Is Approved
Update your bank account. Most banks require a copy of your filed alternate name or trade name certificate before opening or updating a business account. Bring the original document. Use your existing legal entity’s tax ID, not a new one.
Update your contracts. Any contract signed under your DBA should identify both your legal entity name and your registered DBA to keep it enforceable.
Update marketing materials. Website, business cards, signage, and email signatures should all consistently reflect the name.
Your EIN does not change when you register a DBA. The DBA sits on top of your existing legal entity. If you don’t have an EIN yet, obtain one from Easyfiling before opening a bank account under the new name.
Common Mistakes to Avoid
Filing at the wrong level. This is the most common error. Sole proprietors belong at the county level. LLCs and corporations belong at the state level. Getting this backward wastes time and money.
Using the name before registering it. New Jersey can penalize unregistered use. Register before any public launch.
Skipping the name search. If the name is already taken, your filing gets rejected. Check first.
Forgetting notarization. Sole proprietors frequently mail in a Trade Name Certificate without having it notarized. That filing comes back to you.
Missing the renewal. Your registration lapses after five years. A gap in your registration history can create complications with banking and contracts down the line.
