Georgia’s annual report is what most people search for, but Georgia does not call it that. The state’s official name is an annual registration, and every active LLC has to file one between January 1 and April 1 each year. You file online through the Georgia Secretary of State’s website for a $50 state fee ($60 with the service charge). If you file after April 1, a $25 late penalty is added.
If you are searching for the Georgia LLC annual report, you are in the right place. “Annual report” and “annual registration” mean the same thing, but the name can impact your search. Searching for “annual report” on the state’s site may return no results, but using “annual registration” takes you to the correct form.
The form is short, and the fee is minimal. The risks are missing the deadline and providing stale registered agent information.
Does Georgia Require an LLC Annual Report?
Yes, every LLC must file an annual registration with the Secretary of State; the requirement is annual, not biennial. A dormant LLC (one that is not in operation, has no income, and has no employees) is required to file the annual registration.
The registration affirms the basic facts of the LLC. It asks for the name and jurisdiction in which the LLC was organized, the street address (including the county) of the registered office, the name of the registered agent, and the mailing address of the LLC’s principal office. It is not a tax return and does not require the filing LLC to furnish financial statements.
Who Has to File a Georgia Annual Registration?
- Georgia Limited Liability Companies (LLCs)
- Foreign LLCs authorized to do business in Georgia
- Corporations and limited partnerships (The timing and fees are different for these entity types. Check with the Georgia Department of Revenue for details.)
An LLC formed in another state (a Foreign LLC) that is registered to do business in Georgia files the same registration as a Georgia LLC. This applies to you if you are a non-resident member of an LLC registered to do business in Georgia.
When Is the Georgia Annual Registration Due?
Georgia allows LLCs to register for a 3-month period starting January 1 each year. The month and date on which an LLC is formed do not affect the registration timeframe. The state gives all LLCs the same registration time frame.
The first registration is due in the year after the year the LLC is formed. An LLC formed in November of 2026 is due to file its first registration between January 1 and April 1 of 2027. There is no need to worry about a rollover to the next week in April since April 1, 2027, is a Thursday.
Since the window opens on January 1, there is no reason to wait until April to file. Filing in January removes the deadline concern.
How Much Does the Georgia Annual Registration Cost?
Fees as of October 2026, per the Georgia Secretary of State. The state revised its fee schedule in September 2025, and several third-party sites still list the old $50 figure, so confirm the total on the eCorp checkout screen before you pay.
There is no separate Georgia franchise tax for a standard LLC. The annual registration is the main recurring state fee.
What Do You Need Before You File?
- Legal name of the LLC as it is on record with the state
- An eCorp account, unless you use the no-login option described below
- Name of the registered agent and the Georgia street address
- Principal office mailing address
- Credit card for payment
If any of this information changes during the year, you must file the registration “with changes” to keep the record accurate. Changes to the principal office and/or registered agent may be made on the registration or through an amended registration.
How to File the Georgia Annual Registration
There are three ways to file the annual registration.
Option 1: One-Click Filing (No Changes)
If no changes have occurred, the “one-click” annual registration can be filed without logging into your account.
Option 2: File Online With Changes
If changes have occurred, you log into your eCorp account, select the annual registration, update the information, and pay the fee.
Option 3: File by Mail
The third way is to file the registration by mail. You are given the form to do this online, and then you have to mail it to the Corporations Division along with your check or money order. The state advises that the registration may be filed online, and we recommend this option for a filed record and for timely filings.
What If the State Rejects Your Filing?
If there are problems with your registration, the Secretary of State returns it with an explanation. According to the law, if you correct the problems and send it back to the Secretary of State within 30 days of the explanation, it is deemed filed on time.
Can You Pay for Multiple Years at Once?
Yes. Georgia allows an LLC to file a registration valid for 1, 2, or 3 years. Under the state’s rules, the next registration is due between January 1 and April 1 of the first calendar year following the selected period.
This is convenient for owners who do not want to manage a yearly registration requirement. The trade-off is that your registration record may contain stale information. The registration fee is not refunded if the LLC is later dissolved prior to the end of the registration period.
What Happens if You File a Georgia Annual Registration Late?
Reinstatement in Georgia means an LLC can return to its status prior to dissolution. This is a good thing, but there are costs to a reinstatement, and a dissolved LLC can cause bank and contractual issues. The state also makes it clear that reinstatement can occur no more than five years after the original dissolution.
If you no longer want a business, don’t just stop filing. File to dissolve the LLC.
Georgia Annual Registration vs. Other Filings
Georgia’s Secretary of State annual registration filing is not a substitute for taxes, reports, or other documents owed to the Georgia Department of Revenue, the IRS, or the local city.
- Net worth tax. Georgia has a franchise-style tax on corporations. The Georgia Department of Revenue says disregarded single-member LLCs and LLCs taxed as partnerships do not owe the tax. Georgia LLCs that have elected to be taxed as a corporation will owe the tax. Our article on the franchise tax LLC fee explains this in more detail.
- Local business license. There is no single statewide business license in Georgia. Check with your local government.
- Federal filings. There are many IRS deadlines that fall outside Georgia’s January to April window.
Common Mistakes During Georgia Annual Registration
- Searching for “annual report.” Many people search for “annual report” on the Georgia Secretary of State website. The annual registration is not an annual report.
- Procrastinating until the last minute. A declined card or portal issue on March 31st bumps up a $60 task to $85.
- Letting your registered agent expire. If your agent leaves or the address is incorrect, official notices may never reach you.
- Paying look-alike solicitations. Third parties send notices that closely resemble state letters. Consider the fake LLC scam letter before paying anything that arrives by mail.
- Thinking a multi-year filing means no updates are necessary. Changes still have to be filed.
